Host Agreement

Rydemor is a technology marketplace that facilitates introductions between vehicle owners ("Hosts") and renters ("Users"). Rydemor: • Does not own, lease, or control listed vehicles • Does not inspect vehicles • Does not supervise rentals • Is not a transportation provider • Is not a rental operator • Is not a party to rental agreements All rental contracts are formed directly between Host and User. Nothing in this Agreement creates an employment, agency, partnership, franchise, joint venture, or fiduciary relationship between Rydemor and the Host. Hosts operate as independent providers.

This Agreement may be accepted electronically. By clicking "I Agree," listing a vehicle, or continuing to use the Platform, you provide legally binding electronic consent under applicable Sri Lankan law. Electronic records shall be admissible as evidence of agreement.

You represent and warrant that: • You are at least 18 years old • You are legally entitled to rent the vehicle • The vehicle is registered in your name or lawfully controlled by you • You have authority to bind any entity on whose behalf you act • You comply with all applicable Sri Lankan laws and licensing requirements You are solely responsible for determining whether your rental activity requires commercial registration, tax registration, or special licensing.

For each listed vehicle, you represent and warrant that it: • Is roadworthy and mechanically safe • Has valid registration and revenue license • Is properly maintained • Complies with Sri Lankan road and safety regulations • Matches its listing description and photographs You assume full responsibility for: • Mechanical failures • Safety defects • Recall compliance • Undisclosed damage • Regulatory violations Rydemor does not verify vehicle condition and makes no representations regarding safety or suitability.

Hosts retain control over: • Pricing • Availability • Acceptance of bookings (subject to Platform rules) Any pricing tools provided by Rydemor are optional and do not create an agency relationship.

You must maintain a valid motor insurance policy that: • Remains active throughout the listing period • Covers third-party liability at least at the legally required limits • Permits rental or commercial use where required You acknowledge: • You are solely responsible for ensuring your insurance permits rental activity • Rydemor does not verify insurance adequacy • Failure to maintain valid insurance may result in suspension • Rydemor is not liable for losses arising from insufficient coverage

Rydemor may facilitate access to optional additional coverage through a licensed third-party insurer. You acknowledge: • Rydemor is not an insurer • Coverage decisions are made solely by the insurer • Rydemor does not guarantee approval or payout • Such coverage does not replace your mandatory insurance obligations

Upon booking confirmation: • A binding rental contract forms directly between Host and User • Rydemor is not a contracting party • The Host is responsible for rental performance Hosts may not: • Circumvent the Platform to avoid fees • Require conflicting side agreements without prior written approval Hosts may use supplemental rental documentation only if consistent with Platform policies.

In case of damage: • Vehicle condition must be documented before and after rental • Claims must be submitted within 24 hours of vehicle return • Claims must include supporting evidence Disputes are primarily between Host and User. Rydemor may facilitate communication but: • Is not obligated to adjudicate disputes • May temporarily withhold payouts during review • May make final determinations under Platform policies where applicable

You are solely responsible for: • Vehicle condition • Accidents caused by mechanical failure • Claims made by renters • Claims made by third parties • Theft or criminal misuse (subject to insurance coverage) • Regulatory violations Rydemor does not guarantee: • Renter behavior • Renter solvency • Renter compliance with law

Rydemor may deduct: • Commission fees • Processing fees • Service charges • Penalties for policy violations Fees may change with notice. You authorize deduction of applicable amounts from payouts.

You are solely responsible for: • Income tax • VAT (if applicable) • Commercial licensing • Statutory contributions Rydemor does not provide tax advice and does not withhold taxes unless legally required.

You agree to: • Provide accurate identity documentation • Cooperate with compliance checks • Provide information required under AML or regulatory obligations Failure may result in suspension.

You may not: • List vehicles you do not control • Misrepresent vehicle condition • Upload false documentation • Manipulate ratings • Harass Users • Circumvent platform payments • Use renter data for unauthorized purposes Violations may result in termination and legal action.

Personal data is processed in accordance with the Privacy Policy. Hosts must not misuse renter data and must comply with applicable data protection laws.

You agree to indemnify and hold harmless Lithic Labs (Pvt) Ltd, its directors, officers, and employees from any claims, damages, liabilities, costs, or expenses arising from: • Vehicle accidents • Personal injury • Property damage • Insurance disputes • Regulatory violations • Misrepresentation • Breach of this Agreement This indemnity survives termination.

To the maximum extent permitted by Sri Lankan law, Lithic Labs (Pvt) Ltd shall not be liable for: • Indirect damages • Loss of profits • Loss of vehicle use • Reputational damage • Consequential damages Total liability shall not exceed the total service fees paid to Rydemor by the Host in the six (6) months preceding the claim. Nothing in this Agreement limits liability for fraud or willful misconduct.

We may suspend or terminate your account if: • Insurance lapses • Fraud is suspected • Legal violations occur • Risk exposure increases • Repeated complaints arise Termination does not eliminate accrued liabilities.

Rydemor is not liable for delays or failures caused by events beyond reasonable control.

This Agreement is governed by the laws of Sri Lanka. Disputes shall first be attempted to be resolved amicably. Failing resolution, disputes shall be referred to arbitration in Colombo, Sri Lanka. Courts of Sri Lanka retain jurisdiction where arbitration is not applicable.

The following provisions survive termination: • Indemnification • Limitation of liability • Tax obligations • Dispute resolution • Outstanding payment obligations

Rydemor may modify this Agreement at any time. Continued use of the Platform after updates constitutes acceptance.
